RESOLUTION PROMOTING EFFECTIVE GOVERNANCE
WHEREAS, the Code of the University of North Carolina requires that, in addition to insuring the establishment of a council or senate, the Chancellor of each constituent institution shall also insure the establishment of appropriate procedures to provide faculty members the means to give advice about academic policy or governance which may be through standing or special committees or other consultative means; and
WHEREAS, national professional bodies recognize that, among the means of communication between faculty and their board of trustees, are
(1) membership of faculty members on the Board of Trustees
(2) joint ad hoc committees with the Board of Trustees
(3) standing liaison committees with the Board of Trustees;
WHEREAS, no person who is an employee of any constituent UNC institution may serve as a trustee within the system; and
WHEREAS, although a similar requirement holds true at other public and private institutions, many such institutions have elected to implement the latter two committee alternatives by providing for faculty members to serve on the committees of the Board of Trustees;
WHEREAS, the policies of the Boards of Trustees of other public institutions have specified that "a faculty member of the University chosen annually by the University Faculty...shall be invited to sit personally in all meetings of the full Board, except executive sessions thereof, with full right to participate in the Board's discussions but without the right to vote on any matter; therefore, be it
RESOLVED, that the Faculty Assembly recommend to the President of The University of North Carolina that these principles be adapted at each constituent institution of the University of North Carolina:
a) To select persons to serve on its committees, the Board of Trustees, in its discretion, may select representatives of the faculty and student body from lists of nominations developed by the Chancellor in consultation with representative student and faculty groups. The terms of any faculty and student committee member who may be selected shall be one year.
The faculty chair selected as specified by Section 502 D. (2) of The Code shall be invited to sit personally in all meetings of the full Board of Trustees, except for executive sessions, with full right to participate in the Board's discussions but without the right to vote on any matter.
